These Master Guest Terms & Conditions (the “Agreement” or “Terms”) are entered into by and between Stay Awhile Villas, SA, LLC, and/or the applicable affiliated property owner, property manager, agent, representative, or related entity (collectively, “Stay Awhile,” “SA,” “we,” “us,” or “our”) and the individual completing the reservation, payment, or occupancy of the property (“Guest,” “you,” or “your”).
The “Property” means the short-term rental residence, villa, hotel-style accommodation, condominium, estate, apartment, or other lodging accommodation identified in the booking confirmation, together with any associated amenities, parking, pools, spas, gyms, outdoor areas, access points, gates, garages, common areas, and included equipment.
The “Guest Party” includes the primary guest, registered guests, invitees, visitors, vendors, children, pets, contractors, service providers, event staff, chefs, security personnel, photographers, videographers, and any other person who enters, accesses, occupies, or uses the Property in connection with the reservation, whether approved or unapproved.
The Guest completing the reservation is responsible for all conduct, damages, losses, violations, fees, fines, charges, and claims caused by or related to any member of the Guest Party.
By completing a reservation with Stay Awhile, Guest acknowledges that Guest has read, understood, and agrees to be legally bound by these Terms, the booking confirmation, the cancellation policy, the house rules, the property-specific rules, any addenda, and any written instructions or rules provided before or during the stay.
This Agreement is enforceable with or without a physical signature. Guest agrees that electronic acceptance has the same legal force and effect as a handwritten signature.
Guest confirms that Guest had an opportunity to review these Terms before payment and before occupancy, and that Guest was not required to complete the reservation unless Guest accepted these Terms.
SA may create, retain, and use electronic and operational records relating to the reservation and acceptance of these Terms. Guest authorizes SA to rely on these records as evidence of agreement, payment authorization, occupancy, service delivery, damages, violations, and amounts owed.
Guest agrees that SA may provide these records to Stripe, card issuers, banks, booking platforms, collection agencies, attorneys, courts, insurers, law enforcement, government agencies, or other relevant parties in connection with disputes, chargebacks, claims, collections, insurance matters, legal proceedings, or enforcement of these Terms.
All reservations are final, non-refundable, and non-cancellable unless expressly stated otherwise in writing by SA or required by applicable law. Guest acknowledges that SA incurs immediate operational, staffing, administrative, scheduling, marketing, cleaning, inspection, and opportunity costs once a reservation is accepted, and that the Property may be removed from availability for the reservation dates.
For reservations booked through Airbnb, VRBO, Booking.com, Expedia, or another third-party platform, the mandatory cancellation and payment rules of the applicable platform may apply only to the extent required by that platform or law. SA’s house rules, conduct rules, damage rules, occupancy rules, incidental charges, fines, and enforcement rights remain applicable to the fullest extent permitted.
Guest represents and warrants that Guest is the authorized cardholder or has full permission from the authorized cardholder to use the payment method provided for the reservation and related charges.
Guest authorizes SA to charge the payment method on file, or any replacement payment method provided by Guest, for all amounts owed under the reservation and these Terms. Charges may be processed before, during, or after the stay, including after checkout once an issue is discovered or documented. Delayed discovery of damages, missing items, violations, fines, or additional charges does not waive SA’s right to charge for them.
A processing fee, including a 3.55% credit card fee where permitted by law, may apply to card charges. If a bank transfer is selected, a credit card may still be required on file for incidental charges, damages, violations, deposits, and amounts owed after checkout.
SA may require a refundable security deposit, card pre-authorization, damage waiver, incidentals hold, identity verification, or other authorization before check-in. Failure to provide a valid payment method, security deposit, authorization, or verification may result in cancellation, denial of check-in, or termination of occupancy without refund. Any security deposit or pre-authorization may be used to satisfy amounts owed under these Terms. Guest remains responsible for amounts exceeding any deposit, hold, or authorization.
If a refundable security deposit is not required, Guest’s reservation may include a non-refundable Accidental Damage Coverage or Accidental Damage Waiver fee (“ADC” or “ADW”), which may cover up to $2,000 for certain accidental and unintentional damage, subject to SA’s review and approval. The ADC/ADW is not insurance and does not eliminate Guest’s responsibility to use the Property responsibly.
To qualify for ADC/ADW coverage, Guest must promptly report accidental damage to SA before checkout or within the reporting period specified by SA. Failure to report damage may result in denial of coverage. SA retains sole discretion to determine whether damage qualifies for coverage based on photos, videos, inspection reports, staff reports, vendor estimates, invoices, communications, and other documentation.
Guest must inspect the Property upon arrival and notify SA promptly of any issue, damage, missing item, cleanliness concern, maintenance issue, safety concern, or materially different condition. Guest agrees to provide SA a reasonable opportunity to inspect, repair, replace, clean, or otherwise address any reported issue. Failure to promptly report an issue or refusal to allow reasonable access may limit or eliminate Guest’s ability to claim a refund, credit, rent reduction, chargeback, or other compensation based on that issue.
The Property is provided in substantial compliance with the booking description and in as-is condition except as otherwise required by law. Marketing materials, photos, descriptions, and listings are intended for booking and marketing purposes and do not constitute warranties regarding exact conditions, finishes, views, surroundings, furnishings, or availability of every item at all times.
SA, property owners, vendors, inspectors, maintenance personnel, cleaners, security personnel, emergency personnel, or government officials may enter the Property when reasonably necessary, including for maintenance, repairs, inspections, emergency response, suspected violations, safety concerns, noise complaints, utility issues, damage assessment, property protection, legal compliance, or enforcement of these Terms. SA will provide notice when practical, but advance notice may not be possible in emergencies, urgent situations, suspected violations, or safety matters.
Unauthorized late checkout interferes with cleaning, maintenance, inspections, vendor scheduling, and incoming guest arrivals. Guest agrees to pay $500 per hour, or any portion of an hour, for unauthorized late checkout. If Guest remains more than three hours past checkout without written approval, Guest may be charged up to one full additional nightly rate, plus taxes, fees, actual damages, lost revenue, relocation costs, refunds or credits owed to incoming guests, legal expenses, and costs of removing Guest or Guest’s belongings as permitted by law.
Only the individual named on the reservation and accepted by SA as the primary guest may check in and occupy the Property. The reservation is personal to the Primary Guest and may not be transferred, assigned, sold, sublet, or used by another person or party without SA’s prior written approval. SA may require government-issued identification for all adult guests and may deny entry or cancel the reservation without refund if an attempt is made to transfer the reservation or check in on behalf of another person.
Maximum occupancy is strictly enforced. Only registered guests approved by SA may occupy or access the Property. Guest may not invite, allow, or host unregistered visitors, vendors, service providers, photographers, event staff, chefs, caterers, entertainers, security personnel, or any other third party at the Property without prior written approval by SA. Guests include overnight and non-overnight guests. Any person present at the Property is the responsibility of the Primary Guest.
Parties, events, gatherings, commercial use, photo shoots, video shoots, influencer shoots, brand activations, retreats, weddings, dinners, fundraisers, meetings, filming, and any other non-ordinary residential use are strictly prohibited unless approved in writing by SA before arrival and, if required by SA, governed by a separate written event or commercial use agreement.
Where actual damages are difficult to determine, Guest agrees that SA may charge reasonable liquidated damages based on the nature of the violation, size of the gathering, impact on the Property and neighbors, risk to permits and business operations, and documented administrative burden. These charges are intended to compensate SA for actual or difficult-to-measure losses and are not intended as a penalty.
Guest must comply with all noise rules, quiet hours, HOA rules, city rules, county rules, parking rules, trash rules, fire rules, beach rules, building rules, and all applicable laws. Guest agrees not to disturb neighbors or create any nuisance. Outdoor music, amplified sound, shouting, excessive noise, disruptive behavior, unlawful conduct, or conduct that harms SA’s reputation may result in immediate termination of occupancy without refund. Guest is responsible for all fines, citations, penalties, HOA assessments, security response fees, neighbor claims, administrative costs, and enforcement costs arising from Guest’s conduct or the conduct of any member of the Guest Party.
Smoking, vaping, candles, incense, illegal substances, fireworks, open flames, and hazardous activity are prohibited unless expressly approved in writing. Many SA properties may be located in high brush fire, coastal, hillside, or other risk zones. Any smoking or vaping violation may result in immediate eviction without refund, a minimum $1,000 fine per incident, deodorizing, deep cleaning, air treatment, fabric cleaning, repainting, HVAC service, lost revenue, and any other related costs. Guest may not disable smoke detectors, carbon monoxide detectors, alarms, pool alarms, gates, routers, cameras, sensors, locks, or other safety devices.
Pets are prohibited unless expressly approved in writing by SA before arrival. If pets are approved, Guest must comply with all pet rules and remains responsible for all pet-related damage, cleaning, odor removal, landscaping damage, furniture damage, fines, neighbor complaints, and related costs. Unauthorized pets may result in immediate termination of occupancy without refund, a minimum $1,000 fine per incident, additional cleaning charges, damage charges, and any other applicable costs.
Guest must leave the Property in reasonable condition. The standard cleaning fee covers ordinary cleaning only. Guest is responsible for excess cleaning caused by unreasonable use, including excessive trash, dirty dishes, food, spills, stains, odors, moved furniture, confetti, glitter, decorations, tape, adhesives, bodily fluids, pet-related cleaning, smoke or vape odor, sand, mud, debris beyond ordinary use, or failure to follow trash rules. Guest may be charged for excess cleaning, staff time, vendor charges, replacement items, and lost revenue if cleaning delays the next reservation.
Guest may not move furniture, artwork, rugs, electronics, mattresses, bedding, decor, outdoor furniture, umbrellas, pool equipment, or other property items without prior written approval. If furniture is moved, Guest may be charged a minimum $500 reset fee plus repair costs for damage to floors, walls, furniture, or other items. Guest is responsible for damage to or loss of furniture, decor, linens, towels, robes, electronics, kitchenware, appliances, outdoor items, keys, remotes, passes, access cards, gate openers, garage openers, or other property items. Missing garage remotes or keys may result in charges of at least $250 per item, and missing parking passes may result in charges of at least $50 per pass, unless higher replacement, programming, security, or access costs apply.
Guest must properly use, operate, and safeguard the Property, including landscaping, furniture, appliances, AV equipment, plumbing fixtures, mechanical systems, electrical systems, gas systems, HVAC, smart-home devices, and amenities. Only normal toilet paper may be flushed. Feminine products, wipes, baby wipes, paper towels, trash, or other items may not be flushed. Guest is responsible for service calls, repairs, plumbing stoppages, and resulting damages caused by misuse. Thermostats may not be set below 68 degrees Fahrenheit unless otherwise approved; Guest is responsible for HVAC damage caused by improper thermostat use, misuse, or freezing of the system.
Use of pools, spas, beaches, ocean access, gyms, saunas, steam rooms, cold plunges, elevators, balconies, rooftops, fireplaces, fire pits, BBQs, bicycles, golf carts, sports equipment, and all other amenities is at Guest’s own risk. No lifeguard is provided. Guest is responsible for supervising children, incapable swimmers, and all members of the Guest Party at all times. Guest must use all amenities safely and only for their intended purpose.
SA does not guarantee uninterrupted availability, temperature, performance, or operation of any amenity. Temporary amenity interruptions or maintenance needs do not entitle Guest to a refund unless required by law or unless the issue materially prevents reasonable occupancy and SA is unable to provide a reasonable remedy.
SA does not guarantee uninterrupted utilities, HVAC, internet, cable, streaming services, appliances, pools, spas, elevators, gates, smart-home systems, fireplaces, AV systems, roofing, windows, or other property systems. Luxury homes contain complex systems that may occasionally require maintenance, repair, reset, replacement, or vendor access. SA will use commercially reasonable efforts to address reported maintenance issues. No refunds, credits, rent reductions, or chargebacks are permitted for minor, temporary, or non-material interruptions unless required by law.
SA is not responsible for, and will not provide refunds in connection with, events outside its reasonable control, including environmental noise, neighborhood construction, personal emergencies, travel-related delays, weather, smoke, marine layer, internet or cable problems, government-declared evacuations or controls, fire, flood, earthquake, storm, explosion, strike, labor dispute, unavailability of supplies or labor, holdovers, pandemics, acts of war, terrorism, utility failures, or other causes beyond SA’s reasonable control, except where required by law.
Properties may contain exterior security cameras, driveway cameras, entry cameras, gate cameras, doorbell cameras, pool-area cameras where legally permitted, noise-monitoring devices, occupancy-monitoring devices, smart locks, alarm systems, routers, and other security or property-protection devices. No cameras are located inside private bedrooms or bathrooms. Guest acknowledges that exterior areas may be monitored in compliance with applicable privacy laws. Noise-monitoring devices may monitor decibel levels but are not intended to record private conversations.
Guest may not block, disable, cover, tamper with, disconnect, damage, remove, or interfere with any camera, sensor, router, alarm, smart-home device, noise monitor, lock, pool alarm, smoke detector, carbon monoxide detector, or safety device. Tampering may result in immediate termination without refund, a $1,000 charge per incident, repair or replacement costs, security response costs, and any other related losses.
Guest and the Guest Party may not use the Property for any unlawful purpose, including illegal drugs, contraband, unlawful filming, unlawful commercial activity, or any activity that violates federal, state, local, HOA, building, or community rules. Guest may not disrupt SA’s business operations, threaten or harass SA staff, vendors, neighbors, or property owners, or make untrue statements that injure SA’s reputation. Visits to SA office locations require an appointment and may not occur unannounced.
SA may terminate Guest’s occupancy immediately and without refund if Guest or any member of the Guest Party violates these Terms, house rules, local laws, HOA rules, noise rules, occupancy limits, pet rules, smoking rules, event restrictions, payment obligations, safety requirements, or any material requirement. Upon termination, Guest and the Guest Party must vacate immediately. Failure to vacate may result in security involvement, law enforcement involvement, additional charges, legal action, liability for damages, lost revenue, and removal of personal belongings as permitted by law.
Guest assumes all risks associated with the stay and use of the Property and amenities, including pools, spas, beaches, gyms, saunas, steam rooms, cold plunges, balconies, rooftops, elevators, fireplaces, fire pits, BBQs, bicycles, golf carts, sports equipment, and other amenities. Guest is responsible for the safety and supervision of all members of the Guest Party.
To the fullest extent permitted by law, SA, property owners, affiliates, officers, employees, contractors, agents, vendors, representatives, and related parties are not liable for injury, death, loss, theft, damage, delay, inconvenience, interruption, accident, illness, or expense arising from Guest’s stay, except where liability cannot be waived under applicable law.
Guest agrees to indemnify, defend, and hold harmless SA, property owners, affiliates, officers, employees, contractors, agents, vendors, representatives, and related parties from and against all claims, damages, losses, liabilities, fines, penalties, costs, attorney fees, and expenses arising out of or related to Guest’s stay, Guest’s breach of these Terms, Guest’s violation of law, negligence, misconduct, injury to any person, damage to property, or conduct of any member of the Guest Party.
SA does not insure Guest’s personal property, vehicles, or belongings against loss or damage. SA recommends Guest obtain travel insurance, renter’s insurance, personal property insurance, and other coverage appropriate for the stay.
Guest acknowledges and agrees that all reservation charges, including rent, taxes, fees, deposits, damage waivers, cleaning fees, processing fees, approved additional charges, damages, fines, and incidentals, are authorized charges for lodging services and related obligations. Guest reviewed and accepted the reservation total, cancellation policy, house rules, and these Terms before payment and occupancy. Receiving check-in instructions, being provided access to the Property, taking possession of the Property, or occupying the Property confirms that lodging services were made available and/or provided.
Guest agrees not to dispute, charge back, reverse, or challenge any authorized charge that is consistent with the reservation terms, cancellation policy, house rules, or these Terms. If Guest initiates a payment dispute, chargeback, reversal, claim, or challenge for an authorized charge, Guest authorizes SA to provide evidence including, without limitation:
Guest remains responsible for all valid charges, chargeback fees, collection costs, legal fees, administrative costs, and other losses incurred by SA arising from an improper, unsupported, false, or bad-faith payment dispute, to the fullest extent permitted by law.
If Guest fails to pay any amount owed, SA may pursue collection, legal action, or any remedy permitted by law. Guest agrees to pay reasonable costs of collection, including attorney fees, court costs, collection agency fees, administrative costs, chargeback fees, and related expenses, to the fullest extent permitted by law. Where permitted by law, unpaid amounts may accrue interest at the lesser of 8% per annum or the maximum rate allowed by law, and late payments may incur an additional fee of 5% of the overdue amount or such lesser amount required by law.
If Guest booked through a third-party platform, Guest remains bound by these Terms to the fullest extent permitted by the platform’s rules and applicable law. In the event of a conflict between a third-party platform’s mandatory payment, cancellation, or dispute rules and these Terms, the platform’s mandatory rules may control only to the extent required. All other provisions remain enforceable, including rules relating to occupancy, conduct, damages, house rules, property use, fines, indemnification, legal fees, and post-stay charges.
This Agreement shall be governed by the laws of the state where the Property is located, without regard to conflict-of-law principles. Unless prohibited by applicable law, any legal action arising from this Agreement or Guest’s stay shall be brought in the county where the Property is located or where SA’s principal business operations are located, at SA’s election. SA may pursue all remedies available at law or equity. No waiver by SA of any breach shall be deemed a waiver of any later breach.
SA may assign this Agreement to an affiliated entity, successor, owner, manager, purchaser, or related party without Guest consent. If any provision is found invalid or unenforceable, the remaining provisions remain in full force and effect, and the invalid provision shall be replaced with a valid provision that most closely accomplishes the intended economic and legal effect. Guest’s payment obligations, indemnity obligations, damage obligations, evidence authorizations, chargeback provisions, collection obligations, and liability provisions survive checkout, termination, cancellation, or expiration of the reservation.
These Terms, together with the reservation confirmation, house rules, property-specific rules, cancellation policy, privacy policy, and written addenda, constitute the entire agreement between Guest and SA regarding the reservation and stay and supersede prior written, verbal, or electronic communications except those expressly incorporated in writing.
